  1. Terms and Conditions of Sale This Agreement applies to all materials and products delivered to you, whether listed specifically here or not. If not previously itemized, such materials will be invoiced at our prevailing prices at the time of delivery. The signature of any agent, employee, or authorized representative of the purchaser will suffice as proof of delivery. This Agreement incorporates by reference our current product warranties as of the date of delivery.
  2. Warranty Summary We warrant that our products will be free from defects in materials and workmanship at the time of delivery, or upon installation if installation is included. WE EXPRESSLY DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. Our liability is limited to providing repair, replacement, or reinstallation for defective products, at our discretion. No back charges or claims for damages can be made without our prior written consent.
  3. Nonconforming Goods Claims for defective goods, errors, or damages in transit must be made in writing within thirty (30) days of receipt. We disclaim liability for incidental, indirect, special, or consequential damages. Defective products are subject to our Warranty.
  4. Storage and Undelivered Orders Goods must be accepted for delivery within ten (10) days from notification of availability. A storage fee of $10 per day will be charged for items not picked up within this timeframe. Orders not accepted within 10 days will be canceled and refunded. If goods are undeliverable due to a bad address or not having anyone at home to receive the goods, the shipping fees will not be refunded.
  5. Payment Terms For credit/debit sales, product delivery is subject to credit/debit card approval. Non-performance of any obligations by you gives us the right to suspend deliveries or cancel the order.
  6. Insurance and Risk Management Upon your request, we will provide a Certificate of Insurance detailing our coverage as issued by our third-party delivery partners. Please note that specific endorsements will be issued only in blanket form and will adhere strictly to our predetermined coverage limits. This ensures that all parties involved maintain a clear and consistent understanding of the scope of insurance protection during the delivery and installation processes, if applicable.
  7. Indemnity and Limitation of Liability You agree to indemnify and hold us harmless from all claims arising from your use of the goods. We are not liable for incidental, indirect, or consequential damages. Our maximum liability shall not exceed the purchase price of the goods.
  8. Force Majeure We are not liable for delays caused by circumstances beyond our control, such as acts of God, government actions, or labor disputes. Delivery times are estimates and may be subject to change.
  9. Shipping of Merchandise For all purchases made via our e-commerce platform, SpaceAya.com retains ownership of the products until full payment has been received. This means that the goods will not ship until we have received payment in full, ensuring our interests are protected until the transaction is fully finalized.
  10. Intellectual Property All designs, processes, and proprietary information remain our property. You may not use or disclose such information without our prior written consent.
  11. Legal and Collection Expenses You will be responsible for all costs incurred by us in collecting overdue payments, including reasonable attorneys' fees.
  12. General Provisions This Agreement represents the complete agreement between you and SpaceAya.com. It supersedes all prior agreements and understandings related to the subject matter. This Agreement may only be modified in writing, signed by both parties.
  13. Governing Law This Agreement is governed by the laws of the State of Illinois, without regard to its conflict of laws principles. Any legal actions related to this Agreement must be brought in the state or federal courts located in Illinois.
